PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. These Terms contain important provisions, including a mandatory individual arbitration and class action/jury trial waiver provision that requires the use of arbitration on an individual basis to resolve disputes.

By using or continuing to use the TruBot Platform, or by clicking "Sign Up" or similar buttons, you agree to use the TruBot Platform solely in accordance with these Terms, and you agree that you are bound by and are a party to these Terms.

You warrant that you are at least eighteen (18) years old and that you have the legal capacity to agree to and be bound by these Terms. If you access or use the TruBot Platform on behalf of a company, principal, or other entity, you represent that you have authority to bind such entity and its affiliates to these Terms.

2. Accounts and Registration

2.1 Account Creation

You need to create a TruBot AI account to use our services. You may create an account using existing credentials or via other registration methods we may provide.

2.2 Account Responsibilities

• You are solely responsible for the activity that occurs on your account
• You must keep your password, account credentials, and accounts secure
• You must notify TruBot AI immediately of any unauthorized use
• You may never use another user's account
• Your login may only be used by one person
• Accounts registered by "bots" or other automated methods are not permitted

2.3 Account Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice, effective immediately.

3. Use of Services

3.1 Permitted Use

You may use the TruBot Platform only for lawful purposes and in accordance with these Terms. You agree not to use the services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material
• To impersonate or attempt to impersonate TruBot AI, a TruBot AI employee, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the services

3.2 Prohibited Activities

You agree not to:

• Use the services to create, transmit, or store any content that is illegal, harmful, threatening, abusive, or defamatory
• Attempt to gain unauthorized access to any part of the services or systems
• Interfere with or disrupt the services or servers connected to the services

• Reverse engineer, decompile, or disassemble any portion of the services

4. Intellectual Property Rights

4.1 Our Rights

The TruBot Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by TruBot AI, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the TruBot Platform for your business purposes.

4.3 Your Content

You retain ownership of any content you create or upload to the TruBot Platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing our services to you.

5. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.3 Effect of Termination

THE TRUBOT PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRUBOT AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUBOT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL TRUBOT AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO TRUBOT AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless TruBot AI and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the services or violation of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association.

12.3 Class Action Waiver

You agree that any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Effective starting" date. Your continued use of the services after such changes constitutes acceptance of the new Terms.
